1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Buyer,” “you,” or “your”) and Orcatech Bio-Peptides (“Orcatech,” “we,” “us,” or “our”) governing your access to and use of orcatechbio.com (the “Website”) and your purchase of research compounds from us.

By accessing the Website, creating an account, or placing an order, you represent that you have read, understood, and agree to be legally bound by these Terms in their entirety. If you do not agree to all of these Terms, you must not access the Website or place an order. These Terms should be read alongside our Privacy Policy and Compliance Statement.

2. Eligibility Requirements

To be eligible to purchase from Orcatech Bio-Peptides, you must meet all of the following requirements:

2.1 Age Requirement

You must be at least 18 years of age. By placing an order, you represent and warrant that you are 18 or older. We reserve the right to require age verification and to cancel any order where age cannot be confirmed.

2.2 Qualified Researcher Requirement

You must be a qualified scientist, researcher, or research professional with appropriate training and expertise to handle research-grade chemical compounds safely in a laboratory setting. This includes, but is not limited to: academic researchers, PhD-level scientists, research associates, laboratory technicians operating under qualified supervision, and professionals employed by licensed research organizations.

2.3 Licensed Laboratory Requirement

You must be operating within, or on behalf of, a licensed, controlled laboratory environment with appropriate facilities and safety protocols for handling synthetic peptide research compounds. Personal residences and non-laboratory facilities do not qualify.

2.4 Lawful Use Requirement

You must intend to use all purchased compounds solely for lawful in vitro scientific research in full compliance with all applicable federal, state, and local laws and regulations in your jurisdiction.

2.5 Verification

We reserve the right to verify eligibility, request supporting documentation, and refuse or cancel any order at our sole discretion if eligibility requirements are not satisfactorily met. Providing false eligibility information constitutes a material breach of these Terms.

3. Research Use Only

All products sold by Orcatech Bio-Peptides are strictly for in vitro laboratory and scientific research use only. By placing an order, you expressly represent, warrant, and covenant that:

• You are a qualified research professional with appropriate scientific training
• All purchased products will be used exclusively for lawful in vitro laboratory research
• Products will not be administered to any human or animal subject
• Products will not be consumed, ingested, injected, inhaled, or applied topically to any human body in any form or by any means
• Products will not be used for any diagnostic, therapeutic, preventive, or clinical purpose
• Products will be stored, handled, and disposed of in accordance with applicable laboratory safety regulations and good laboratory practices
• Products will be handled only by qualified personnel within a licensed, controlled laboratory environment

4. FDA Status and Disclaimers

None of the products sold by Orcatech Bio-Peptides are approved by the US Food and Drug Administration (FDA). These products have not been evaluated by the FDA for safety, efficacy, or suitability for any specific use. They are not drugs, pharmaceutical preparations, dietary supplements, nutraceuticals, medical devices, or cosmetics as defined by applicable law.

No health claims, therapeutic claims, or claims of human or veterinary benefit of any kind are made or implied by Orcatech Bio-Peptides. Product descriptions and technical specifications are provided solely for research identification and characterization purposes.

5. Ordering and Payment

5.1 Order Acceptance

All orders placed through our Website constitute an offer to purchase subject to our acceptance. Orcatech Bio-Peptides reserves the right to refuse, cancel, or limit any order for any reason, including but not limited to: inability to verify eligibility, suspected misuse, stock unavailability, suspected fraud, or error in pricing or product description. An order is accepted only upon our issuance of an order confirmation.

5.2 Payment

Full payment is required at the time of ordering. We accept major credit cards (Visa, Mastercard, American Express) and other methods made available at checkout. All prices are denominated in US Dollars. Payment is processed through our PCI-DSS-compliant payment processor. By providing payment information, you represent that you are authorized to use the payment method.

5.3 Pricing and Availability

Prices are subject to change without notice. The price displayed at the time of order confirmation is the price you will be charged, provided the order is accepted. We do not guarantee the availability of any product. In the event of a pricing error, we reserve the right to cancel the order and issue a full refund.

5.4 Order Holds and Verification

Orders may be placed on hold pending credential verification, identity confirmation, or other eligibility review. We will contact you using the information provided at checkout if additional information is required.

6. Fulfillment and Shipping

6.1 Fulfillment Timeline

Subject to stock availability, payment confirmation, and completion of any required eligibility verification, orders are processed and fulfilled within 48 business hours. Fulfillment timelines are estimates and are not guaranteed. We are not liable for delays caused by circumstances outside our reasonable control.

6.2 Shipping and Delivery

Delivery timelines vary by destination and selected shipping method. Tracking information is provided for all shipments once dispatched. Risk of loss and title to products transfer to the Buyer upon dispatch from our facility.

6.3 International Shipments

International buyers are solely and entirely responsible for: ensuring full compliance with all applicable laws and regulations in their jurisdiction governing the importation, possession, and laboratory use of research compounds; all applicable import duties, taxes, customs fees, and brokerage charges; any delays, seizures, or legal issues arising from the importation of products. Orcatech Bio-Peptides is not liable for any international shipping complications.

6.4 Restricted Destinations

We do not ship to countries subject to US trade sanctions, export embargoes, or where applicable law prohibits the shipment of research chemical compounds. Buyers are responsible for confirming that shipment to their location is lawful.

7. No Returns and No Refunds Policy

Due to the nature of research-grade chemical compounds and the necessity of maintaining analytical integrity and chain of custody, Orcatech Bio-Peptides does not accept returns and does not provide refunds under standard circumstances.

Exceptions may be considered solely in the following limited circumstances:

• Verified Defective Product: Where a product is confirmed by us to fail to meet the specifications documented on the Certificate of Analysis
• Shipping Error: Where an incorrect product was shipped due to our error, as verified by Orcatech Bio-Peptides
• Damage in Transit: Where products are damaged during shipping in a manner documented with photographic evidence submitted within 48 hours of delivery

All exception claims must be submitted in writing via orcatechbio.com/contact/ within 7 calendar days of the confirmed delivery date. Claims submitted after this window will not be considered. Approved refunds or replacements are issued at our sole discretion.

8. Prohibited Uses

The following uses of Orcatech Bio-Peptides products are expressly prohibited and constitute a material breach of these Terms:

• Human consumption, ingestion, self-injection, inhalation, or topical application of any kind
• Administration to any animal for any purpose
• Use in clinical trials, human studies, or research involving live human or animal subjects
• Diagnostic, therapeutic, or preventive application
• Use outside of a licensed, qualified laboratory environment
• Resale, redistribution, or transfer to any third party who has not been independently verified as a qualified researcher
• Manufacture of any product intended for human or animal consumption
• Any use that violates applicable federal, state, or local law or regulation
• Circumventing eligibility verification or providing false information to obtain an order

9. Misuse Clause and Liability Transfer

If you use, cause to be used, or facilitate the use of any Orcatech Bio-Peptides product in any manner not expressly authorized by these Terms — including but not limited to human consumption, administration to any person or animal, use outside of a qualified in vitro laboratory setting, or any illegal purpose — you assume and accept full, sole, and exclusive legal and financial liability for all resulting consequences.

This liability transfer encompasses, without limitation: personal injury or death resulting from misuse; property damage; regulatory violations and resulting penalties; civil and criminal liability to third parties; costs of legal defense; and any other loss, damage, or liability arising directly or indirectly from the unauthorized use.

Orcatech Bio-Peptides expressly disclaims all liability of any nature arising from any unauthorized use of our products. Confirmed misuse will result in immediate account termination, reporting to relevant regulatory and law enforcement authorities, and pursuit of all available legal remedies.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• ORCATECH BIO-PEPTIDES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING FROM OR IN CONNECTION WITH YOUR USE OR MISUSE OF OUR PRODUCTS OR WEBSITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• OUR TOTAL CUMULATIVE LIABILITY TO YOU IN CONNECTION WITH ANY MATTER ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.
• THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SHALL SURVIVE ANY TERMINATION OF THESE TERMS.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend (at our request), and hold harmless Orcatech Bio-Peptides and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and court costs) arising from or relating to:

• Your breach of any provision of these Terms
• Your misuse of any product, including use outside of authorized in vitro laboratory research
• Your violation of any applicable federal, state, or local law or regulation
• Any claim by a third party resulting from your actions or inactions
• Any false representation made to us in connection with an order

This indemnification obligation survives termination of these Terms and your cessation of use of our Website or services.

12. Intellectual Property

All content on orcatechbio.com — including but not limited to text, product descriptions, technical specifications, images, graphics, logos, and website code — is the proprietary property of Orcatech Bio-Peptides or its licensors and is protected by applicable United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Website for the purpose of placing research compound orders in accordance with these Terms. You may not reproduce, distribute, publicly display, create derivative works from, reverse engineer, or otherwise exploit any content from our Website without our express prior written permission.

13. Governing Law

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the United States of America and, to the extent applicable, the laws of the state in which Orcatech Bio-Peptides is registered, without regard to conflict of law principles that would require the application of the laws of any other jurisdiction.

International buyers acknowledge that US law governs all transactions with Orcatech Bio-Peptides and agree to the application of US law regardless of their country of residence or the location of the receiving laboratory.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal proceeding, you agree to first contact us at orcatechbio.com/contact/ and provide written description of the dispute, your desired resolution, and your contact information. We will attempt to resolve the matter informally within 30 days of receipt.

14.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved by binding individual arbitration administered under applicable arbitration rules. The arbitration shall be conducted in English and shall be final and binding.

14.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST ORCATECH BIO-PEPTIDES. All claims must be brought on an individual basis.
